1. Who we are and what this agreement covers
These Terms of Service (the "Terms") are a binding agreement between you and El Camino Studio LLC, a limited liability company organised under the laws of the State of Delaware, United States, with its registered office at 8 The Green, Suite B, Dover, DE 19901, United States ("Orrie Bag", "we", "us"). They govern your use of the Orrie Bag mobile application, the Orrie Bag website, and every feature offered through them (together, the "Service").
Section 17 explains how disputes between you and Orrie Bag are resolved. Please read it.
2. Accepting these Terms
You accept these Terms by creating an account, opening a bag, adding credit, or otherwise using the Service. If you do not agree, do not use the Service.
We may update these Terms. When we do, we will change the "Last updated" date above and, for material changes, notify you in the app or by email before they take effect. Continuing to use the Service after a change takes effect means you accept the revised Terms. If you do not accept them, stop using the Service; Section 12 explains what happens to your credit and vault when you leave.
3. What Orrie Bag is
Orrie Bag sells luxury handbags and accessories through "blind bags". Each bag has a fixed price and a published prize pool: a list of the products it can contain, grouped into tiers, with the chance of drawing each tier shown on the bag's "What's inside" page. When you open a bag you buy one product from that pool, chosen at random by our servers at the moment of purchase.
You should understand the following before you open a bag:
- The product you receive is decided by our servers before any animation plays. The reveal sequence is presentation only and does not influence the result.
- The published odds are the probabilities our servers use for that bag at the time you open it. We may change a bag's price, contents or odds for future openings; a change never affects a bag you have already opened. Where a published tier currently has no product in stock, the remaining tiers are drawn in proportion to their published rates, and the bag's page says so.
- Every product in a pool is a real, authentic item that we own or have reserved for fulfilment. Product names and brand names belong to their respective owners; Orrie Bag is not affiliated with or endorsed by any brand whose products appear in a bag.
- Opening a bag is a purchase of a product at random, not a wager on a cash prize. Orrie Bag does not pay out money; every outcome is a product you may keep, ship or sell back to us under Section 6.
4. Eligibility
You may use the Service only if you:
- are at least 18 years old, or the age of majority where you live if that is higher;
- can enter into a binding contract;
- live in a country or region where the Service is offered and where the purchase of products chosen at random is lawful; and
- are not barred from using the Service under any sanctions or export-control law, and have not previously been suspended from the Service.
We may verify your age or identity before allowing purchases, shipping or account recovery, and may refuse or close accounts that do not meet these requirements.
5. Your account
You can browse and open bags as a guest, or sign in with Apple or Google to keep your credit balance and vault across devices. A guest account that later signs in keeps its balance and vault. One person, one account: the same sign-in identity always resolves to the same account, and we may merge or close duplicates.
You are responsible for everything that happens under your account. Keep your device and sign-in credentials secure and tell us at support@orriebag.com immediately if you believe your account has been used without permission.
You may delete your account at any time from the Profile screen. Deletion is permanent: it removes your profile, your sessions and the contents of your vault. Anything you want to keep must be shipped or sold back first. We retain the records described in the Privacy Policy after deletion.
6. Credit, opening bags, keeping, selling back
Credit. Your account holds a prepaid credit balance in US dollars that you top up through our payment provider (currently Stripe) using the methods it offers. Credit is added only once the provider confirms payment. Your credit balance is prepayment for products on the Service: it is not money, earns no interest, cannot be transferred to another account, and cannot be withdrawn or paid out in cash under any circumstances, including when an account is closed. Credit shown in a demonstration or test version of the app has no value of any kind.
Opening. The price of a bag is deducted from your credit balance when you confirm the opening. If your credit is insufficient the opening does not happen. Once the price is deducted the purchase is complete and the result is final; it cannot be cancelled, re-rolled or refunded.
Your product. After an opening you choose to keep the product in your vault, request shipping (Section 7), or sell it back (below). A product you do not act on is placed in your vault automatically.
Sell-back. For every product we show a listed market value, which is our good-faith estimate of the product's retail value at the time; it is not a guarantee of what the product would sell for elsewhere. We offer to buy back any product in your vault for a percentage of its listed market value shown next to the offer (currently 95%). The proceeds are added to your credit balance, not paid in cash. Accepting a sell-back offer is final. We may change the sell-back percentage for future offers at any time; a change never affects an offer you have already accepted.
Prices. Bag prices and listed market values are shown in US dollars and may change at any time for future purchases.
7. Shipping, taxes and returns
You may request delivery of any product in your vault by providing a shipping address. The address you give at the time of the request is the one we ship to; check it carefully. We ship to addresses in the United States.
- Cost. Products with a listed market value of $150 or more ship free. Other products ship for a flat fee of $15, shown before you confirm the request and charged to your credit balance.
- Duties and taxes. Sales tax, VAT, import duties and similar charges are your responsibility unless the checkout says otherwise.
- Timing. We aim to dispatch within 7 business days of a request and will show the carrier and tracking number in your vault once the product has shipped. Delivery estimates are estimates.
- Risk of loss. Risk passes to you when the carrier delivers to the address you provided.
- Problems. If a product arrives damaged, is not the product you were shown, or does not arrive within 30 days of the shipping date, contact us at support@orriebag.com within 7 days of delivery (or of the expected delivery date). We will replace the product, or where that is not possible add its listed market value to your credit balance.
- No change-of-mind returns. Every product is chosen at random and shown to you before you decide to ship it, and you can sell it back to us instead of shipping it. We therefore do not accept returns or exchanges of shipped products except under the "Problems" paragraph above or where the law requires it.
8. Payments and refunds
All payments are processed by our payment provider under its own terms. We do not store your card details. Top-ups are final and non-refundable except where the law requires a refund or where we added credit to your account in error. If a payment is reversed, disputed or charged back after the credit has been used, we may suspend your account, deduct the disputed amount from your credit balance, and recover any shortfall.
9. Fair use
You agree not to:
- use the Service if you are not eligible under Section 4, or on behalf of someone who is not;
- create more than one account, or use another person's account;
- use bots, scripts, emulators or automation to open bags, top up, or otherwise interact with the Service;
- interfere with the random selection, the odds, the credit balance, or any part of the Service, or probe or attack our systems;
- use the Service for money laundering, to resell credit, or for any unlawful purpose;
- copy, scrape, reverse-engineer or redistribute the app or its content, including product photography and artwork; or
- harass our staff or other users.
We may investigate suspected breaches, suspend or close accounts, cancel transactions, withhold shipments and forfeit balances obtained through a breach of this Section.
10. Intellectual property and feedback
The Service, including its software, design, artwork, text and product photography, belongs to Orrie Bag or its licensors and is protected by copyright, trademark and other laws. We grant you a personal, revocable, non-transferable licence to use the app on devices you own for the purpose of using the Service. The app is licensed, not sold. If you send us ideas or feedback, we may use them without obligation to you.
11. Availability and changes
We may add, change or withdraw bags, products, features and offers at any time. We may suspend the Service for maintenance or for reasons outside our control. We will try to give notice of planned downtime, but the Service is not guaranteed to be available at any given time.
12. Suspension, closure and what happens to your balance and vault
We may suspend or close your account if you breach these Terms, if required by law, or if we discontinue the Service. If we close your account for a reason other than your breach, or if we discontinue the Service, we will give you at least 30 days' notice and a way to ship or sell back the products in your vault and to use your remaining balance. If we close your account for breach, unshipped products and remaining balance obtained through the breach are forfeited.
If you delete your account, Section 5 applies.
13. Warranty disclaimer
The Service is provided "as is" and "as available". To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, that odds will remain unchanged for future openings, or that listed market values reflect resale prices. Nothing in these Terms limits the consumer rights you have under the law of your place of residence, including statutory rights regarding faulty goods.
14. Limitation of liability
To the fullest extent permitted by law, Orrie Bag and its officers, employees and suppliers are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill, arising from or related to the Service. Our total liability for all claims relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim arose and (b) US$100. These limits do not apply to liability that cannot be limited by law, including for death or personal injury caused by negligence, fraud, or the statutory rights described in Section 13.
15. Indemnity
You will defend and indemnify Orrie Bag against claims, losses and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of any law or third-party right.
16. Third-party services
The Service relies on third parties, including Apple and Google for sign-in, Stripe for payments, and shipping carriers for delivery. Their services are subject to their own terms and privacy policies, and we are not responsible for them. Apple, Inc. is not a party to these Terms and has no obligation to provide support for the app.
17. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules.
Talk to us first. Before starting any formal proceeding, contact us at support@orriebag.com and give us 30 days to resolve the issue informally.
Formal disputes. Any dispute that we cannot resolve informally will be brought exclusively in the state or federal courts located in the State of Delaware, and you and Orrie Bag consent to their jurisdiction. Where the law of your place of residence gives you the right to bring a claim in your local courts, nothing in this Section takes that right away.
18. General
- Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and Orrie Bag about the Service.
- Severability. If any part of these Terms is unenforceable, the rest remains in effect.
- Assignment. You may not transfer your rights under these Terms. We may transfer ours to a successor or affiliate.
- No waiver. Our not enforcing a term is not a waiver of it.
- Notices. We may notify you in the app or by email at the address on your account. Notices to us go to support@orriebag.com or 8 The Green, Suite B, Dover, DE 19901, United States.
- Survival. Sections 6 (balances), 9, 10 and 12 to 18 survive the end of this agreement.
